SHRXD BOX LIABILITY WAIVER AND RELEASE

By signing this Agreement, I the member, on behalf of myself and my heirs, executors, administrators, successors, assigns, and any other person or entity claiming on my behalf, voluntarily and knowingly waive, release, and discharge any and all claims, demands, causes of action, liabilities, losses, costs, or damages of any kind, whether known or unknown, foreseen or unforeseen, present or future, including physical injury, death, emotional distress, psychological injury, loss of enjoyment, economic loss, or property damage, against SHRXD BOX, including its owners, directors, officers, managers, employees, contractors, instructors, agents, affiliates, members, successors, and assigns, arising out of or related to my use of the facilities or participation in any activities, programs, classes, training sessions, or services. This release expressly includes claims arising from the ordinary negligence of SHRXD BOX, including but not limited to failure to instruct, supervise, inspect, maintain, repair, warn of conditions, or enforce rules, except where such conduct is legally determined to constitute gross negligence, willful misconduct, or reckless behavior that cannot be waived under the laws of Belize.

I understand and acknowledge that the use of a fitness facility involves inherent and unavoidable risks, including but not limited to slipping or falling, dropping weights, equipment malfunction or misuse, overexertion, dehydration, improper technique, contact with other members, and the use of heavy, mechanical, or potentially dangerous equipment. I knowingly and voluntarily assume all such risks, whether known or unknown, even if arising from the negligence of SHRXD BOX or others and accept full responsibility for my participation and conduct while on the premises.

I authorize SHRXD BOX to obtain emergency medical treatment only, from any licensed physician, hospital, or medical personnel, if I am injured or otherwise unable to give consent while participating in activities or using the facility, and I understand and agree that I am solely responsible for all costs associated with such medical care, including transportation or evacuation.

I agree to indemnify, defend, and hold harmless SHRXD BOX and its owners, directors, officers, employees, instructors, agents, and representatives from and against any and all claims, demands, damages, liabilities, losses, costs, or expenses, including reasonable legal fees, arising out of or related to my actions, omissions, violation of gym rules or this Agreement, or any injury or damage to third parties or property caused by me while using the facility or participating in activities.

If the Member is a minor, or if a minor participates under the supervision of a parent or legal guardian, the parent or legal guardian represents and warrants that they have full legal authority to sign on behalf of the minor, agrees to all terms of this waiver on behalf of themselves and the minor, acknowledges that a minor may not be legally permitted to waive personal injury claims, and nevertheless agrees to assume all risks, accept full responsibility, and indemnify and hold harmless SHRXD BOX from any and all claims, damages, costs, or expenses, including legal fees, arising from or related to the minor’s participation or presence at SHRXD BOX.

This Liability Waiver and Release shall be governed by and construed in accordance with the laws of Belize, without regard to conflict-of-law principles, and any dispute, claim, or legal action arising out of or relating to this waiver or the membership agreement shall be brought exclusively in the courts of Belize, to whose jurisdiction the Member expressly consents. If any provision of this waiver is held to be invalid or unenforceable, such provision shall be severed, and the remaining provisions shall remain in full force and effect. Failure by SHRXD BOX to enforce any provision of this waiver, or the membership agreement shall not be deemed a waiver of the right to enforce such provision at any later time. I acknowledge that I have had sufficient time to read this waiver, had the opportunity to ask questions, fully understand its contents, and understand that by signing this Agreement, I am giving up substantial legal rights, including the right to sue SHRXD BOX for ordinary negligence.

1. Gym Rules and Etiquette

I agree to follow all rules and gym etiquette established by SHRXD BOX, which may be updated at any time without notice. These rules include, but are not limited to:

·         Always be respectful to all members and staff

·         Use equipment properly and exercise with caution

·         Ask for spotters and use safety equipment when necessary

·         Do not allow or facilitate unauthorized entry into the facility

·         Re-rack weights and return equipment after use

·         Wipe down equipment after use

·         Wear appropriate fitness clothing (no rivets, zippers, or items that may damage equipment)

·         Report damaged equipment or facility issues to staff

·         Turn in lost or forgotten items to staff

·         Do not possess or use illegal drugs or paraphernalia on the premises or in the parking lot

Violations may result in:

·         Fees up to $1,000

·         Charges for property or personal damages

·         Membership termination without notice

Allowing unauthorized guests will result in a $100 fee per person, per incident, which may be charged without notice and is non-refundable. Repeated violations may result in immediate termination and cancellation of fees.

Any individual found negligent or in violation of these rules, or the safety of others may be subject to prosecution.

2. Membership Terms

·         Monthly membership fees are non-refundable

·         Unused time cannot be refunded or transferred

·         Membership begins on the start date listed above

·         SHRXD BOX reserves the right to revoke memberships for any reason without prior notice

·         No refunds will be issued for revoked memberships

3. Unpaid and Past-Due Balances

·         Any unpaid balances may be sent to collections

·         Past-due amounts may be automatically deducted upon reinstatement

·         Payment attempts may be reprocessed until the balance is cleared

·         A fee of up to $35 per failed payment attempt may be charged

4. Charges and Taxes

·         I agree to pay all applicable charges and taxes

·         SHRXD BOX may add taxes to dues as required?

5. Photography, Filming, and Audio Recording

·         SHRXD BOX may use photos, videos, or audio recordings for promotional and surveillance purposes

·         Personal recording devices are permitted but may not record others without their consent

6. Services and Access

·         Membership includes access during regular operating hours

·         Hours may change without affecting this agreement

·         Optional services may require additional fees

7. Health and Risk Acknowledgment

·         I confirm I am physically able to participate in fitness activities

·         I have consulted a physician if necessary

·         I understand and accept the risks associated with physical exercise

8. Assumption of Risk

I voluntarily assume all risks associated with fitness activities, personal training, use of equipment, and classes at SHRXD BOX.

9. Payment Obligation

Failure to attend or use the facility does not relieve me of my payment obligations.

10. Liability for Personal Property

SHRXD BOX is not responsible for lost, stolen, or damaged personal property on the premises or surrounding areas.

11. Entire Agreement

This Agreement constitutes the entire agreement between the parties and supersedes all prior communications or agreements, written or oral.

12. Privacy

SHRXD BOX agrees to protect my personal information and use it responsibly.

13. Enforcement

Failure to enforce any provision does not waive the right to enforce it later.

14. Terms & Conditions

I agree to comply with all conditions outlined in this Agreement and any attached Terms & Conditions.

15. Acknowledgment

I acknowledge that I have read, understand, and agree to all terms in this Agreement.
